IRS Form 1065, U.S. Return of Partnership Income, is the annual information return that partnerships and multi-member LLCs taxed as partnerships file with the IRS. The partnership itself generally pays no income tax; profits and losses pass through to the partners, who receive a Schedule K-1 showing their share.

What is Form 1065 used for

Form 1065 reports the partnership's income, gains, losses, deductions, and credits for the tax year. Because a partnership passes through its results, the return is informational: it tells the IRS how the year's results were divided so the agency can match each partner's K-1 to their individual return.

The return includes several supporting schedules, including Schedule B (other information about the partnership), Schedule K (the totals allocated to partners), Schedule L (the balance sheet), and Schedules M-1 and M-2 (reconciling book income to tax income and analyzing partner capital accounts).

Who files Form 1065

Filing generally applies to:

  • Domestic general partnerships, limited partnerships, and limited liability partnerships.
  • Multi-member LLCs that have not elected corporate taxation, which are taxed as partnerships by default.
  • Certain foreign partnerships with US income or US partners.
  • Nonprofit religious organizations classified under section 501(d).

How to fill out Form 1065

Page 1 covers trade or business income and deductions, from gross receipts down to ordinary business income or loss. Schedule B answers questions about ownership, elections, and reporting requirements. Schedule K aggregates each type of income, deduction, and credit that flows to partners, and the K-1s break those totals down partner by partner.

Schedules L, M-1, and M-2 complete the picture for partnerships that are required to include them. Preparing the K-1s accurately is the part partners feel directly, since each partner needs their K-1 to file their own return. Partnership taxation has real complexity, so many partnerships work with a professional preparer.

Deadlines and extensions

Form 1065 is due by the 15th day of the third month after the end of the partnership's tax year, which is March 15 for calendar-year partnerships. If the date falls on a weekend or holiday, the deadline moves to the next business day.

Partnerships can request an automatic six-month extension by filing Form 7004 by the original due date, moving a calendar-year deadline to September 15. Penalties for filing late are assessed per partner, per month, so the extension is worth filing even when the return is nearly done.
